These Terms apply to all products, content, and services offered by Broadway's Passive Digital Pro Powered By Broadway Review Boost (“Company,” “we,” “us,” or “our”), including but not limited to content or products sold or accessed through our official websites and funnels, subdomains, checkout pages, landing pages, and official channels (e.g., Instagram, YouTube, TikTok, email/SMS campaigns, SamCart/Stripe/Shopify/Go High Level portals, Fourthwall, or other sales/content platforms we control).

1. Acceptance of Terms

By visiting our sites, creating an account, opting into communications, and/or purchasing or accessing any product, program, service, subscription, or content (collectively, the “Service”), you (“you,” “Customer,” “User”) agree to be bound by these Terms of Service (“Terms”), our Privacy Policy, and any other policies referenced or hyperlinked herein. If you do not agree, do not access or use the Service.

We may update these Terms at any time by posting a revised version. Your continued use constitutes acceptance of any changes.

Age Requirement. You represent that you are at least 18 years old (or the age of majority where you reside) and legally capable of entering a binding contract. You must be 18+ to purchase.

2. Scope; Parties

• Broadway's Passive Digital Pro Powered By Broadway Review Boost (“Broadway's Passive Digital Pro and Passive Digital Pro”) provides digital courses, educational content, templates, trainings, coaching, and related materials for creators and businesses.

• Broadway Review Boost provides software-enabled review automation and reputation tools and related services to businesses.

3. Additional Terms for Companies Using Broadway Review Boost (B2B)

By subscribing to or using Broadway Review Boost:

3.1 Platform Description. The platform provides AI-assisted review request workflows, monitoring, and reputation tools. We do not provide done-for-you review writing or posting. Results depend on your inputs, customer lists, and cooperation.

3.2 Account Registration. You must provide accurate registration and billing information and keep credentials secure. You are responsible for all activity conducted under your account.

3.3 Eligibility & Promotional Offers. Businesses with at least 1,000 prior customer contacts (name/email/phone) may be eligible for “first 50 reviews free.” All businesses may be eligible for a free two-week trial and a 30-day money-back guarantee if expressly offered at signup; otherwise the No-Refund Policy in §12 applies. Offer details vary by plan and may change.

3.4 Monthly Subscription & Hosting. You agree to maintain monthly subscription fees to keep your features and any hosted pages active. Non-payment may result in suspension or termination of access, hosting, and site functionality until all fees (including reactivation fees) are paid.

3.5 Ownership on Pay-in-Full. If you purchase a custom website or creative deliverable via a one-time “pay in full,” you obtain ownership of the final deliverables as specified in your order. Hosting, domains, third-party integrations, and ongoing services are separate and require active payment to remain accessible.

3.6 Communications Consent. You authorize us to send transactional and support messages (including review requests) to your customers where you have the lawful right to contact them. You are responsible for ensuring your lists are permission-based and compliant with laws (e.g., TCPA, CAN-SPAM, CASL, GDPR where applicable). Additional carrier- or platform-level SMS/email fees may apply.

4. General Conditions; Refusal of Service

We may refuse service, suspend, or terminate accounts for any lawful reason. You agree not to use the Service for unlawful purposes or to violate the rights of others. You must not transmit malware, spam, or malicious code.

5. Account Security & Transfer of Content

Except for payment data (which is encrypted in transit by our payment processors), content you submit may traverse third-party networks and be adapted to technical requirements. You are responsible for maintaining backups of your content and for safeguarding your login credentials.

6. Products, Subscriptions, Trials, and Pricing

6.1 Availability & Display. We make reasonable efforts to describe products accurately; displays and colors may vary by device.

6.2 Changes. We may change, suspend, or discontinue any product, feature, or price at any time. We will notify subscribers of price changes prior to future billing cycles.

6.3 Subscriptions. By purchasing a subscription, you authorize recurring charges to the payment method on file until canceled. Billing typically recurs every 30 days (or the interval shown at checkout).

6.4 Trials. If a free trial is offered, billing starts automatically at the end of the trial unless you cancel before the trial ends.

7. Orders; Billing; Taxes

We may limit or cancel orders at our discretion (e.g., excessive quantities, reseller behavior). You agree to provide current, complete, and accurate billing information and to promptly update it. Prices are exclusive of taxes unless stated; you are responsible for any taxes due.

8. License & Intellectual Property

All content, courses, videos, templates, graphics, logos, text, code, and materials provided through the Service are owned by us or our licensors and are protected by intellectual-property laws. Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the content for your personal or internal business use only. You may not copy, share, distribute, resell, publish, or make derivative works of our content without our prior written consent.

AI/Use of Likeness Restriction. You may not train or generate AI models using our videos, voices, images, likenesses, course content, or brand assets; no deepfakes, voice replication, or content reproduction through AI or machine-learning tools without our express written consent.

9. User Content; Feedback

If you submit comments, testimonials, suggestions, or other content (“User Content”), you grant us a worldwide, perpetual, irrevocable, royalty-free license to use, reproduce, display, adapt, and publish such content for legitimate business purposes (e.g., product improvement, marketing), consistent with our Privacy Policy. You are solely responsible for your User Content and represent that you own or have the necessary rights to provide it.

10. Educational; Coaching; Income; Testimonial Disclaimers

Our materials are for educational purposes only and do not constitute legal, tax, financial, medical, or professional advice. We make no earnings guarantees. Any income examples or testimonials are illustrative only; results vary based on individual effort, market conditions, and numerous factors outside our control.

11. Third-Party Services & Tools

The Service may link to or incorporate third-party tools, content, or platforms we do not control. Those providers are solely responsible for their offerings. Your use of third-party services is at your own risk and subject to their terms.

12. Refunds; Cancellations

Digital Products (Passive Digital Pro). All sales of digital courses, downloads, templates, and tickets are final and non-refundable, except where required by applicable law (e.g., specific consumer rights). Access ends when your term ends or if your account is terminated for breach.

Subscriptions (all services). You may cancel at any time to stop future billing; fees already paid are non-refundable and not prorated unless we state otherwise in writing or where required by law. If a specific money-back guarantee is offered for a plan, it will be honored according to the written terms shown at checkout.

13. Prohibited Uses

You may not use the Service to: (a) violate laws or third-party rights; (b) infringe IP rights; (c) harass, defame, or discriminate; (d) submit false/misleading info; (e) upload malware; (f) scrape, spider, or interfere with security; (g) send unsolicited or unlawful marketing; (h) circumvent access or usage limits; (i) misrepresent affiliation; or (j) create competing products using our content.

14. Personal Information & Privacy

Your use of the Service is subject to our Privacy Policy (linked on our site). SMS/Text Messaging. By providing your phone number (e.g., at checkout or via keyword opt-in), you consent to receive automated marketing and transactional messages; consent is not a condition of purchase. Message/data rates may apply; frequency varies. Reply STOP to opt out and HELP for assistance. We do not sell your mobile number. Carrier is not liable for delayed or undelivered messages.

15. DMCA; IP Complaints

If you believe content infringes your copyright, send a DMCA notice to the contact with: (i) your signature; (ii) identification of the work and allegedly infringing material; (iii) contact info; (iv) a good-faith statement; and (v) a statement under penalty of perjury that your claim is accurate and you are authorized to act.

17. Disclaimers

THE SERVICE AND ALL PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION OR THAT RESULTS WILL MEET YOUR EXPECTATIONS.

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL PASSIVE DIGITAL PRO POWERED BY BROADWAY REVIEW BOOST, BROADWAY REVIEW BOOST, OR THEIR OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOST PROFITS, REVENUE, OR DATA; BUSINESS INTERRUPTION; OR REPLACEMENT COSTS, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY.

OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. Some jurisdictions do not allow certain limitations; in such cases, liability is limited to the maximum extent permitted by law.

19. Indemnification

You agree to indemnify, defend, and hold harmless Passive Digital Pro Powered By Broadway Review Boost, Broadway Review Boost, and their affiliates, officers, directors, employees, contractors, and agents from and against any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising from: (a) your use of the Service; (b) your breach of these Terms; (c) your violation of law or third-party rights; (d) your User Content; or (e) your communications to customers.

20. Suspension; Termination

We may suspend or terminate your access immediately for suspected violations of these Terms, non-payment, fraud, or misuse. Your obligations that by nature should survive (e.g., IP restrictions, disclaimers, indemnification, limitations of liability, and dispute provisions) will survive termination.

21. Governing Law; Venue; Dispute Resolution; Class Waiver

These Terms are governed by the laws of the State of Tennessee, without regard to conflicts-of-law principles.

Arbitration. Any dispute arising out of or related to these Terms or the Service shall be resolved by confidential, binding arbitration administered by the AAA under its Consumer Arbitration Rules (if applicable) in Davidson County, Tennessee. Judgment on the award may be entered in any court of competent jurisdiction.

Waivers. YOU WAIVE ANY RIGHT TO A JURY TRIAL OR TO PARTICIPATE IN A CLASS ACTION OR CLASS-WIDE ARBITRATION. Claims must be brought in your individual capacity.

Injunctive Relief. Notwithstanding the foregoing, we may seek injunctive or equitable relief in a court of competent jurisdiction to protect our IP or confidential information.

22. Severability; No Waiver

If any provision is found unenforceable, it shall be enforced to the maximum extent permitted, and the remainder will remain in effect. Our failure to enforce any right is not a waiver of that right.

23. Entire Agreement; Assignment

These Terms (including policies referenced or linked) constitute the entire agreement between you and us regarding the Service and supersede prior agreements. You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, or asset sale.
